These Terms of Service (“Terms”) constitute a binding legal agreement between you and Multibagger Securities Research & Advisory Pvt. Ltd. (“we”, “us”, “our”, “Operator”, the “Company”), in its capacity as operator of the MultibaggerShares MMB discussion forum (the “Forum”). By creating an account, logging in, or otherwise using the Forum, you agree to these Terms. If you do not agree, do not use the Forum.

1.1 Definitions

  • Forum means the online discussion platform operated at https://forum.multibaggershares.com and any successor domain.
  • User means any person who accesses the Forum, whether as a registered member or anonymous visitor.
  • User Content means any post, reply, comment, image, file, tag, message, or other material that a User submits to the Forum.
  • Operator / Company means Multibagger Securities Research & Advisory Pvt. Ltd., a company incorporated in India (CIN: U93090DL2017PTC313815), registered with SEBI as an Investment Adviser under Registration No. INA100007736.
  • IA Service means the paid investment advisory service operated by the Company on its primary website www.multibaggershares.com pursuant to SEBI (Investment Advisers) Regulations, 2013. The Forum is NOT the IA Service.
  • Applicable Law means all statutes, rules, regulations, circulars, and guidelines in force in the Republic of India, including the SEBI Act 1992, the SEBI (Investment Advisers) Regulations 2013, the Information Technology Act 2000 and the Rules thereunder, and the Digital Personal Data Protection Act 2023.

1.2 Eligibility

You must be at least 18 years of age and competent to contract under the Indian Contract Act, 1872 to use the Forum. If you are under 18, you are prohibited from registering or posting. The Forum does not knowingly collect personal data from minors.

1.3 Account Registration

To post, reply, or send private messages, you must create an account. You agree to provide accurate, current, and complete information; keep your credentials confidential; and notify us immediately of any unauthorised access. You are solely responsible for activity under your account.

One person may hold only one account. Creation of duplicate, sock-puppet, or automated accounts is prohibited and grounds for immediate suspension.

1.4 Nature of the Forum — Separation from IA Service

The Forum is a platform for peer-to-peer User discussion of publicly listed Indian securities. The Company operates the Forum as an “intermediary” under the Information Technology Act, 2000 (as defined below). The Forum is operated separately from the IA Service.

No personalised advice on the Forum. Content posted on the Forum — whether by Users, moderators, or the Operator’s staff — does not constitute investment advice under the SEBI (Investment Advisers) Regulations, 2013. No suitability assessment, risk profiling, KYC, or individual client-adviser relationship is established by reading or posting on the Forum. For personalised advice, subscribe to the IA Service at www.multibaggershares.com.

No subscription solicitation. Moderators and staff will not DM Forum users to sell IA subscriptions. Promotional links to the IA Service are permitted only from pinned official announcements and must be clearly marked as such.

1.5 User Content Rules

By posting User Content, you represent and warrant that (a) you own or have the right to share it; (b) it does not infringe any third-party intellectual property, privacy, or other right; (c) it complies with Applicable Law; and (d) it complies with these Terms.

You may NOT post User Content that:

  • Contains stock recommendations, price targets, or buy/sell calls, unless you clearly disclose your SEBI Research Analyst or Investment Adviser registration number in the same post and your post otherwise complies with the SEBI (Research Analyst) Regulations, 2014 or SEBI (Investment Advisers) Regulations, 2013 — including mandatory risk disclosures and disclaimers
  • Is intended to manipulate the market price of any security, including “pump and dump”, coordinated buying or selling, or spreading false information about a company
  • Constitutes insider information or unpublished price-sensitive information about any company
  • Is false, defamatory, obscene, harassing, threatening, or discriminatory
  • Promotes any paid tip service, Telegram channel, WhatsApp group, YouTube channel selling tips, or similar, without Operator’s prior written consent
  • Contains spam, advertising, affiliate links, or referral codes
  • Impersonates any person, company, or government entity
  • Contains malware, phishing links, or attempts to compromise the security of the Forum or other Users
  • Violates any Applicable Law, including the Indian Penal Code, the IT Act 2000, the SEBI Act 1992, or the SEBI (Prohibition of Insider Trading) Regulations 2015

1.6 Licence to Your Content

You retain ownership of your User Content. By posting, you grant the Operator a worldwide, royalty-free, non-exclusive, perpetual, irrevocable licence to host, display, reproduce, distribute, and make your User Content available on the Forum and in related promotional channels. This licence survives termination of your account with respect to content already posted.

1.7 Moderation and Enforcement

The Operator and its appointed moderators reserve the right, but have no obligation, to review, edit, hide, or remove any User Content, and to suspend or terminate any account, at any time and without notice, in the Operator’s sole discretion, for any reason including violation of these Terms or Applicable Law.

The Forum uses an automated trust-level system: new users face posting rate limits, cannot post links for an initial period, and are subject to flag-based community moderation.

1.8 Intermediary Safe Harbour

The Company operates the Forum as an “intermediary” as defined in the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 (“IT Rules 2021”). The Company does not initiate the transmission of User Content, does not select the receiver of the transmission, and does not select or modify the information contained in the transmission, save for the limited moderation described in clause 1.7. The Company therefore claims the safe-harbour protection of Section 79 of the IT Act with respect to the Forum.

1.9 Disclaimers

THE FORUM AND ALL USER CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, OR NON-INFRINGEMENT. THE OPERATOR DOES NOT WARRANT THAT THE FORUM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

User Content represents the opinions of individual Users and NOT the views of the Operator, notwithstanding the Operator’s SEBI IA registration. The Operator makes no representation as to the accuracy, completeness, or reliability of any User Content.

1.10 No Investment Advice (Forum)

Nothing on the Forum is intended to be, nor should be construed as, financial, investment, tax, legal, or other professional advice to any individual User. Although the Company holds SEBI IA Registration INA100007736, that registration does not extend to Forum content; SEBI-regulated advice is delivered only through the IA Service subject to suitability, risk-profiling, KYC and a formal client agreement.

Securities markets carry risk and you may lose part or all of your invested capital. Before acting on any idea discussed on the Forum, you should (a) conduct your own independent research, (b) consult a SEBI-registered Research Analyst or Investment Adviser, and (c) consider your own financial position, risk tolerance and investment horizon.

1.11 Limitation of Liability

To the maximum extent permitted by Applicable Law, in no event shall the Operator, its directors, officers, employees, or moderators be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or investment losses, arising out of or in connection with these Terms or your use of the Forum, whether based on contract, tort, strict liability, or otherwise, and whether or not the Operator has been advised of the possibility of such damages.

In any event, the Operator’s aggregate liability under these Terms shall not exceed INR 1,000 (one thousand rupees).

1.12 Indemnification

You agree to indemnify, defend, and hold harmless the Operator, its directors, officers, employees, moderators, and affiliates from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or connected with (a) your User Content; (b) your use of the Forum; or (c) your violation of these Terms or Applicable Law.

1.13 Termination

You may close your account at any time via the profile settings. The Operator may suspend or terminate your access to the Forum at any time, with or without notice, for violation of these Terms or for any other reason. Clauses 1.5, 1.6, 1.9, 1.10, 1.11, 1.12, 1.14, 1.15, 1.16, and 1.17 survive termination.

1.14 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of India, without regard to conflict-of-law principles.

1.15 Dispute Resolution

Any dispute, controversy, or claim arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within thirty (30) days, the dispute shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with a sole arbitrator appointed by the Operator. The seat and venue of arbitration shall be New Delhi, India, and proceedings shall be in English. The courts of New Delhi shall have exclusive jurisdiction over any non-arbitrable matter.

1.16 Changes to These Terms

The Operator may update these Terms at any time by posting a revised version on the Forum. The “Effective date” at the top will be updated accordingly. Your continued use of the Forum after changes become effective constitutes acceptance of the revised Terms. Material changes will be communicated via an announcement thread.

1.17 Miscellaneous

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force. The Operator’s failure to enforce any right or provision shall not be a waiver. These Terms, together with the Privacy Policy and Disclaimer, constitute the entire agreement between you and the Operator regarding the Forum and supersede any prior agreements.
